Register as a sole proprietor in Serbia (preduzetnik)

To register as a sole proprietor in Serbia takes a matter of days, and the decision that actually matters is not the registration itself but which activity code you register under.

In short

A preduzetnik is a registered sole proprietor. Registration goes through the Business Registers Agency and is quick. Most foreign remote workers elect lump-sum taxation, where the monthly obligation is fixed by activity code and municipality rather than calculated from revenue.

Lump-sum taxation, and why remote workers choose it

The lump-sum regime replaces revenue-based taxation with a fixed monthly obligation. There is no requirement to maintain full business books, and the amount is known in advance, which makes cash flow predictable in a way percentage taxation is not.

It also means the regime rewards higher earners disproportionately, since the obligation does not rise with a good month. This is the actual reason it is popular, and it is also why the state caps it with a turnover ceiling.

Choosing the right activity code

Your activity code determines your base for the lump-sum calculation, and different codes carry materially different monthly amounts. It also determines whether you qualify for the regime at all, since some activities are excluded.

Choosing a code because it sounds closest to your job title, without checking what it does to the calculation, is the most common and most expensive mistake at registration. It is changeable afterwards, but changing it is more work than getting it right once.

What registration actually involves

The mechanics are genuinely straightforward. The complications come afterwards, in the sequence of things that must happen before the business can actually receive money.

  1. 1
    Choose name and activity code

The code drives your tax base, so this decision comes before the paperwork.

  2. 2
File with the Business Registers Agency

Registration is decided quickly, and you receive a registration number.

  3. 3
    Register with the tax authority

Including the election for lump-sum treatment, which is not automatic.

  4. 4
    Open a business bank account

Usually the slowest step for a foreign founder. Budget real time for it.

  5. 5
    Receive the lump-sum decision

The tax authority issues a decision stating your actual monthly obligation.

The turnover ceiling and what happens when you cross it

The regime applies below a turnover threshold. Exceeding it moves you out of lump-sum treatment and into a regime requiring proper books and revenue-based taxation.

This is not a penalty and it is not a crisis, but it changes your monthly costs and your accounting obligations, and it tends to arrive at the same time as everything else is going well. If your invoicing is trending toward the ceiling, plan the transition a quarter ahead rather than discovering it in an assessment.

Frequently asked questions

The registration decision itself is fast, typically days. Getting to the point of being able to invoice and receive payment takes longer, because the bank account is the bottleneck.

Yes. Foreign nationals can register as preduzetnik, and doing so is one of the standard grounds for a residence application.

Paušal is the lump-sum taxation regime, where a sole proprietor pays a fixed monthly amount set by activity code and municipality instead of tax calculated on actual revenue.

The bookkeeping burden is much lighter than under standard taxation, but the filing obligations do not disappear, and the penalties for missing them are real. Most people use an accountant regardless.

Sole proprietorship is cheaper and faster but carries unlimited personal liability. A DOO limits liability and looks more substantial to counterparties, at the cost of more administration.

When this is not the right route for you

  • Your activity is on the list excluded from lump-sum treatment. We will tell you at the consultation rather than after registration.
  • You need limited liability. A sole proprietor is personally liable for business debts, without limit.
  • You expect turnover well above the ceiling from day one. Register the right form to begin with.
